Re: Lucent Performance Plan – Fiscal Year 2007 Results

This letter is to notify you of the Fiscal Year 2007 results for the Lucent Performance Plan (LPP) for represented occupational employees. Since the parties only reached agreement on Business Group Metrics for the Installation/CARA group, the same company metric will be applied to the Business Group Performance Award for all other organizations.

Based on Alcatel-Lucent’s performance in FY2007, the aggregate percent of target incentive paid under the AIP applicable to U.S. Management A Band Employees is 35%. The calculation to determine the payment to eligible represented occupational employees (rounded to the nearest dollar) is:

Lucent Award: Target ($614) x Percent of Target (35%) = $215

All represented employees except Installation/CARA:

Business Group/Sub-Group Award: Target ($614) x Percent of Target (35%) = $215.

Installation/CARA represented employees (except Communications Services Installers):

Business Group/Sub-Group Award: Target ($614), Performance Results = $330.

(See attached results table)

However, the Lucent Performance Plan contained in the 2004 National Memorandum of Understanding stipulates a Minimum Amount for each award, in each performance year. Since the percent of target incentive results in an amount lower than the minimum amount for some groups, the payments for represented occupational employees for FY2007 are as follows:

All represented employees except Installation/CARA:

Lucent Award: Minimum Amount = $250

Business Group/Sub-Group Award: Minimum Amount = $250

Total = $500

Installation/CARA represented employees (except Communication Services Installers):

Lucent Award: Minimum Amount = $250

Business Group/Sub-Group Award: Minimum Amount = $330

Total = $580 Re: Lucent Performance Plan – Fiscal Year 2007 Results - continued

Paragraphs 4, 5 and 6 of the Lucent Performance Plan contained in the 2004 National Memorandum of Understanding shall apply to the Lucent Performance Award and Business Group Performance Awards for Performance Year 2007 payments. Payment will be made on April 4, 2008.
